Agreement and defined terms
AN AGREEMENT DATED: __________________________ BETWEEN GPS Financial Ltd (the “Broker”, “We”, “Us”) and the client named below (the “Client”, “You”).
In this Agreement, “Credit Broking Services” means the services We agree to provide in connection with a proposed finance transaction; “Lending Proposal” means the application or proposal submitted to a lender; “Finance Offer” means the lender’s offer of finance; and “Finance Agreement” means the agreement entered into with the lender. References to legislation include amendments or replacements.
1. Appointment of the Broker
1.1 This Agreement sets out how We will deal with You in the provision of Credit Broking Services. We will start providing Credit Broking Services to You from the commencement date agreed with You.
2. Standards Statement
2.1 GPS Financial Ltd is authorised and regulated by the Financial Conduct Authority (FRN: 975825). GPS Financial Ltd is an authorised credit broker and not a lender. Our authorisation and permitted activities can be viewed on the Financial Services Register: https://register.fca.org.uk/.
2.2 GPS Financial Ltd is a member of the National Association of Commercial Finance Brokers (NACFB). We adopt the Code and Minimum Standards set by the NACFB. Membership details are available at https://www.nacfb.org/.
2.3 We source finance from lenders appropriate to the transaction and will explain the scope of our service and any applicable advice or recommendation obligations. The lender makes the final lending decision.
3. Appraisal and Arrangement Fees
3.1 In consideration of Our appointment as the provider of Credit Broking Services to You, You will pay the Fees individually agreed with You in the Confirmation of Instructions / fee schedule. The amount, purpose, payment trigger and any refund conditions will be recorded before You incur the fee.
3.2 Where an Appraisal Fee or Arrangement Fee is agreed, its amount (or calculation), when it becomes payable and whether it is linked to application, offer or completion will be specified in writing for the particular Lending Proposal. There is no automatic separate abortive fee.
3.3 Refund of Fees. Any Fees paid will be refunded to the extent required by applicable law, including section 155 of the Consumer Credit Act 1974 where it applies. The statutory treatment of a Regulated Mortgage Contract or Home Finance Transaction may differ from other credit broking arrangements. Nothing in this Agreement limits Your statutory rights.
3.4 Where legally permitted, a fee for work already completed may be retained only where the amount or basis of calculation, the work covered and the circumstances of retention were clearly agreed with You in writing in advance. A fee will not be retained solely because a transaction fails to complete where that would be unlawful or inconsistent with the agreed terms.
3.5 Where a refund is due, We will confirm the amount and process it promptly in accordance with applicable statutory requirements. Any case-specific provisions must not override Your legal rights.
4. Client Acknowledgement and Commission
4.1 By executing this Agreement, You acknowledge that You have been urged to seek such independent advice as You consider necessary before signing this Agreement.
4.2 We may receive Commission from the Lender for introducing You to them in relation to the funding set out in the Finance Offer, as well as receiving Fees separately from You where agreed. Different lenders may pay different amounts. The existence, nature, calculation and amount of any Commission, and any other relevant lender or third-party payments, will be disclosed as required, including in Our Commission Disclosure Document.
4.3 You acknowledge the case-specific fee schedule and agree to pay Fees only in accordance with those agreed terms and applicable law. We will disclose relevant referral or ancillary service payments where applicable.
5. Your instructions and responsibilities
5.1 You agree to provide accurate, complete and timely information and documentation reasonably required for the Lending Proposal, and to notify Us promptly of material changes.
5.2 We cannot guarantee that any lender will issue a Finance Offer or that finance will complete. Any lending terms are subject to the lender’s own approval, underwriting, valuation and legal requirements.
6. Privacy Notice and Data Protection
6.1 We will process Your personal data in accordance with applicable data protection law and Our Privacy Notice, which explains the purposes and lawful bases for processing, sharing with lenders and service providers, retention, and Your rights. The Privacy Notice is available at https://gpsfinancial.co.uk/ or on request from info@gpsfinancial.co.uk.
6.2 We may use information supplied by You for identity, anti-money laundering, sanctions and credit-related checks as appropriate to the transaction. Information may be shared with relevant lenders and professional service providers to progress the application.
7. Complaints and NACFB Code
7.1 We will handle complaints under Our Complaints Policy. Please contact GPS Financial Ltd at info@gpsfinancial.co.uk or 029 2267 7707. Where eligible, You may have the right to refer a complaint to the Financial Ombudsman Service (www.financial-ombudsman.org.uk).
7.2 As a NACFB member, We agree to act in accordance with the NACFB Code and Minimum Standards.
8. Termination and amendments
8.1 Either party may end Our appointment by written notice. Termination does not affect rights and obligations accrued before termination, including properly agreed fees and applicable refund rights.
8.2 Any variation to the agreed fee terms must be confirmed to You in writing and accepted before taking effect.
